CLIENT SERVICES AGREEMENT (the “Agreement”)

1:1 VIP Coaching ProgramParenting Refreshed, LLC

Service Purchased: 1:1 VIP Coaching Program (the “Program”).

Investment: $2499 (one time);

or in Three equal installments plus service fees (hereinafter referred to as the “Investment”).

This Coaching Program Agreement (hereinafter referred to as the “Agreement”) dated today

Hereinafter referred to as the “Effective Date”, made by and between Parenting Refreshed, LLC (hereinafter known as the “Company”) and Client.

hereinafter referred to as the “Client”.

Together, the Company and the Client are collectively referred to herein as the “Parties”.

WHEREAS, the Company provides Parent Coaching (“Services”); and WHEREAS, the Client wishes to retain the Company and accepts the terms of the Agreement as set forth herein for the Company to provide such Services.

NOW THEREFORE, in consideration of the mutual covenants stated herein, the Parties agree as follows:

1. Program/Service Description

A. Coaching Calls and Online Program: weekly one-hour online video/audio call for total 12 sessions, as described on the company website for the 1:1 VIP Coaching program signed up by the client.

The Program runs for 12 weeks and begins on predetermined date.

B. Support:

Client may reach the coach via email for any query and concerns during the duration of the program. Please provide one business day to the administrative staff to reply to your query and concerns.

2. Payment

The Client will pay the Investment pursuant to the following terms:

A. 1-time payment of the cost of the program as shown above as the Investment.

Payment Due at time of purchase. Investment due prior to signing up for the program.

Payment may be completed by the company’s third-party payment provider payment link on the website or credit card payment via the invoice sent to the Client.

The client also agrees to the company’s third-party payment provider, storing your payment information.-or-b. Three equal installments due upon signing up, one month after booking, and two months after booking plus service fees of $75 with each installment.

Payment Schedule / Due Dates:

●Payment 1: one-third amount of the Investment plus service fees of $75, due prior to signing up for the program.

●Payment 2: one-third amount of the Investment plus service fees of $75, due on or before 1 month after signing up for the program.

●Payment 3: final payment of one-third amount of the Investment plus service fees of $75, due on or before 2 months after signing up for the program.

Payment may be completed by the company’s third-party payment provider link on the website or credit card payment via the invoice sent to the Client. The client also agrees to the company’s third-party payment provider, storing your payment information.

Late / No Payments:Payments are due on or before the due dates listed in this section. Late payments will not be accepted. If a payment is not made on or before the due dates stated herein, the company will send the Client an email with instructions on how to make immediate payment. The company will not perform any additional services for the Client until payment is completed and the Client’s access to any client portal or materials may be removed until payment is made.

In the event of stopped services, the client agrees to pay any balance owed for services rendered, even if future services are not hired by the client or offered to the client by the company.

3. Refund Policy

No Refunds

All coaching programs are non-refundable. The client acknowledges that in working with the company and seeking the benefits of parenting coach, you are taking full responsibility for your own success, and you will not request a refund. If, for any reason, the Coach is unable to fulfill their obligations to the Client, the Client will be refunded in full for any part of the Program paid for but not yet rendered.

No Chargebacks

The Client will not, under any circumstances, issue or threaten to issue any chargebacks to the Company or to the Client’s credit card and/or form of payment (ie, Stripe, PayPal) for any reason whatsoever related to the Program. In the event of a chargeback, the Company reserves its right to report it to the credit bureaus as a delinquent account.

4. Term & Termination

The Program is 12 weeks long and begins on

predetermined date as published on the Website (the “Term”). The Client understands that the Parties do

not have a relationship after the end of the Program. If the Parties choose to continue their relationship in any way, a separate and distinct agreement will be entered into and agreed upon.

The Client may not terminate the Agreement prior to the end of the Term. The Coach may, for any reason, terminate the Agreement prior to the end of the Term, with a refund issued to the Client for any unused portion of the Program.

5. Client CommitmentsThe Client agrees to the following as part of the Program:

A. The Client shall participate fully in the Coaching Calls, and any other part of the program, to the best of his/her/their ability.

B. To maximize results, it will be necessary for the client to be coachable, focused, and open to change.

The client acknowledges that creating results requires tremendous effort and he/she/they are prepared and committed to faithfully make that effort.

C. The Client agrees to take the initiative in scheduling coaching sessions by contacting and working with the Coach to arrange mutually convenient times for meetings.

D. The Client shall immediately inform the Coach of any issues or difficulties he/she/they may have with the Program.

E. The Client shall complete payment of the Investment according to the Terms herein. 6. Coach CommitmentsThe Coach agrees to the following as part of the Program:

A. The Coach shall participate fully and intently in the Coaching Calls, and any other part of the program, to the best of their ability.

B. The Coach will support the Client to the best of their abilities in accordance with Section 1 of this Agreement.

C. The Coach will not, at any time, either directly or indirectly, use any information disclosed by the Client for the Coach’s own benefit, nor will the Coach disclose or communicate, in any manner, any information to a third party about the Client. The Coach will not divulge that the Parties are in a coaching relationship without your express permission.

7. DisclaimerThe Client understands that the Coach (Sarita Singhal) is a

Parenting Coach.

ALTHOUGH THE COACH (SARITA SINGHAL) IS A LICENSED MEDICAL PROFESSIONAL, THE COACH IS NOT ACTING IN HER CAPACITY AS A DOCTOR/PHYSICIAN IN THIS RELATIONSHIP WITH THE CLIENT, AND THEREFORE WILL NOT BE PROVIDING THE CLIENT WITH ANY PROFESSIONAL MEDICAL ADVICE, MEDICAL TREATMENT, MENTAL HEALTH SERVICES OR THERAPY.

The Coach and Client’s work together is not a substitute for professional medical advice. The Client needs to discuss and clear any and all changes to the Client’s lifestyle, food intake, exercise regimen, medical or psychological treatment with his/her/their physician or therapist before implementing changes or habits suggested by the Coach.

The Client confirms that s/he has or will discuss any and all changes to his/her/their diet, exercise regimen, supplements, medications, or lifestyle with his/her/their physician or qualified medical professional before implementing any suggested or offered changes, additions, or alterations to his/her/their lifestyle.

The Client understands that the Coach is not a nutritionist, physician, medical professional, and/or a psychotherapist or psychologist in this relationship with the Client. Further, the Coach has not promised, nor shall the coach be obligated to:

(1) act as a therapist by providing psychological counseling, psychoanalysis or behavioral therapy, (2) assist anyone with a serious medical condition to resolve, manage, or improve that medical condition, and/or (3) assist anyone not under the care of a physician or medical professional while implementing healthy changes in his/her/their life.

The Client understands that the Coach does not guarantee any outcome from the Parties’ work together.

8. Cancellations & Rescheduling Appointments

If you are unable to keep an appointment that we have, please provide written notice via email to the coach, at least 48-hours prior to the appointment. The Client can reschedule his/her/their appointment by email, or scheduling calendar if available on the website. Any session cancelled with less than 48 hours’ notice will be deducted from your program. The coach will also provide 48-hour notice via email to the client in case of cancellation due to any unforeseen circumstances.

9. Limitation of Liability

Notwithstanding anything to the contrary contained herein, the Client’s sole and exclusive remedy for negligence, failure to perform, or breach by the Coach hereunder shall be a refund of the amount paid but not earned on the Agreement. IN NO EVENT SHALL THE COACH BE LIABLE TO THE CLIENT FOR ANY INDIRECT, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES.

10. Indemnification

Client agrees to indemnify and hold harmless the Coach, Parenting Refreshed, LLC and its agents, employees, representatives, successors and assigns from all direct and third party claims, losses, expenses, fees, including attorneys’ fees, costs, and judgments that may be asserted against Parenting Refreshed, LLC or the Coach, by any third parties that result from the errors, negligence, acts, and/or omissions of the Client and/or the Coach.

11. Arbitration

Any controversy or claim between the Parties shall be settled by arbitration before a single, mutually agreed upon arbitrator under the then current rules of the American Arbitration Association (“AAA”). If the Parties cannot agree upon an arbitrator, then each party shall appoint one arbitrator and then both arbitrators, in turn, shall appoint a third neutral arbitrator to hear the matter. The decision and award of the arbitrator shall be final and binding and the award so rendered may be entered in a court of the Commonwealth of Massachusetts. The arbitration hearing shall be held in the Commonwealth of Massachusetts. Each party shall pay its own costs and expenses related to the arbitration, and shall split the cost of the arbitrator equally. The arbitrator will have no authority to award punitive or other non-compensatory damages to either party. No damages excluded by or in excess of any damage limitations set forth in this Agreement shall be awarded. The sole remedy for the Client shall be a refund of any amount paid to the Coach.

12. Entire agreement;

Amendment; Headings

The Agreement constitutes the entire agreement between the Parties with respect to their relationship, and supersedes all prior oral or written agreements, understandings and representations to the extent that they relate in any way to the subject matter hereof. Neither course of performance, nor course of dealing, nor usage of trade, shall be used to qualify, explain, supplement or otherwise modify any of the provisions of this Agreement. No amendment of, or any consent with respect to, any provision of this Agreement shall bind either party unless set forth by writing, specifying such waiver, consent, or amendment, signed by both parties. The headings of Sections in the Agreement are provided for convenience only and shall not affect its construction or interpretation. The Agreement may not be assigned by either of the Parties without the express, written consent in advance of the other Party.

13. Severability

The provisions of this Agreement shall be deemed severable, and the invalidity or unenforceability of any provision shall not affect the validity and enforceability of any other provision hereof. If any Section, subsection, sentence, or clause of this Agreement shall be adjudged illegal, invalid, or unenforceable, such illegality, invalidity, or unenforceability shall have no effect on the Agreement as a whole or on any Section, subsection, sentence, or clause hereof not expressly so adjudged.

14. Applicable Law + Venue

This agreement shall be governed by the laws of the Commonwealth of Massachusetts. Any action brought by any party arising out of or from these Terms shall be brought within the Commonwealth of Massachusetts, County of Hampden.

15. Photograph and Testimonial ReleaseThe Client grants the Company the right, title and interest to share any and all communications, wins, screenshots of communications, or testimonials in connection with the Client's participation in the Program for the purposes of promoting and marketing the Program across social media, advertisements, the Coach’s website, and to the Coach’s future clients. The Client understands that he/she/they will not receive any compensation for use of his/her/their likeness, testimonial, or image.

16. Confidentiality

Only authorized users, who have attained access to the company’s programs are permitted access. The client will not provide or make available any documents, videos, audios, or any login member credentials to any third party, or use any program materials to teach any third party. The Agreement is considered a mutual non-disclosure agreement. Both Parties agree not to disclose, reveal or make use of any information learned by either party throughout the Term of the Program (“Confidential Information”). Confidential Information includes, but is not limited to, information disclosed in connection with this Agreement, and shall not include information rightfully obtained from a third party. Both Parties shall keep all Confidential Information strictly confidential by using a reasonable degree of care, but not less than the degree of care used by it in safeguarding its own Confidential Information. The obligation of the Parties hereunder to hold the information confidential does not apply to information that is subsequently acquired by either Party from a third party who has a bona fide right to make such information available without restriction. Both Parties agree that any and all Confidential Information learned as of the Effective Date shall survive the termination, revocation, or expiration of the Agreement.

Permitted Disclosure. Notwithstanding anything in the foregoing, the Parties may disclose Confidential Information to the extent necessary as required by law, a court of competent jurisdiction, and/or any governmental authority or agency. Where permitted by law or legally permissible, the Parties shall disclose a request for information in writing to the other prior to disclosure.

17. Intellectual Property Rights and Recording Sessions

It is important that the client respects the intellectual property rights of the company. All documents, videos, audio recordings and/or any other elements associated with the client’s coaching program are property of the company and may not be shared or reproduced in any form without prior written consent of the company. By participating in online/remote coaching sessions, the client agrees not to save, record, share or post session, documents or any photos from any session without prior written permission. The client may not record any sessions with the coach without the Coach’s prior written consent. Your coaching session(s) may at times be recorded. Such recordings are used for educational, training and business development purposes only and all attempts will be made to preserve your anonymity and privacy.

18. Non-Disclosure of Company Materials

Material given to the Client in the course of the Program is proprietary, copyrighted and developed specifically for and by the Company. The Client agrees that such proprietary material is solely for the Client’s own personal use. Any disclosure to a third party is strictly prohibited.

The Company’s Program is copyrighted and the original materials that have been provided to the Client are for the Client's individual use only and are granted as a single-user license. The Client is not authorized to re-sell, share, or use for profit any of the Company’s intellectual property. All intellectual property, including the Company’s copyrighted program and/or course materials, shall remain the sole property of the Company. No license to sell or distribute the Company’s materials is granted nor implied.

Further, by signing below, the Client agrees that if the Client violates, or displays any likelihood of violating, any of the Client’s agreements contained in this paragraph, the Company will be entitled to injunctive relief to prohibit any such violations and to protect against the harm of such violations.

19. Force Majeure

In the event that any circumstances beyond or not within the reasonable control of the Parties, including, but not limited to: an act of God (such as, but not limited to, fire, explosion, earthquake, flood, tsunami, drought, tidal waves, hurricanes, etc.), pandemic, hostilities, war, invasion, curtailment or interruption of transport, threats or acts of terrorism, State Department travel advisory or warning, labor strike or civil disturbance, make it inadvisable, illegal, or impossible, either because of unreasonable increased costs or risk of injury, for either Party to perform its obligations under the Agreement, the affected Party’s performance shall be extended without liability for the period of delay or inability to perform due to such circumstances.

20. No Guarantees, Warranties or Representations

The Coach has not and does not make any warranties, guarantees, or representations, verbally or in writing, regarding the outcome or success (or the likelihood of such) in working with the Coach. The Client understands that due to the nature of the coaching program, the results experienced by each individual may vary. The client takes full responsibility for his/her/their own success or failure and acknowledge that success is different for everyone, and dependent on factors such as individual drive, dedication, and motivation. The Coach does not make any guarantees other than that the Program shall be provided to the Client in accordance with the terms of the Agreement as stated herein.

21. Counterparts

The Agreement may be executed in one or more counterparts (including by means of mail or electronic mail/e-mail via PDF), each of which shall be deemed an original, but all of which together will constitute one and the same instrument.
